Independent Contractor Agreement
This Independent Contractor Agreement ("Agreement") is entered into between Limitless Virtue LLC, doing business as Kids on the Yard ("Company," "KOTY," or "Platform"), and you, the undersigned service provider ("Contractor," "Educator," or "You").
1. Relationship of the Parties
You are an independent contractor and NOT an employee of Kids on the Yard. Nothing in this Agreement creates an employer-employee relationship, joint venture, partnership, or agency relationship between you and the Company.
2. Self-Direction and Control
As an independent contractor, you retain full control over:
- Teaching methods: You determine how to teach, tutor, or instruct
- Materials: You select and provide your own educational materials and lesson plans
- Schedule: You set your own availability and working hours
- Rates: You determine your own pricing within the platform's display framework
- Clients: You may accept or decline any session request
- Other work: You may provide services to other platforms, companies, or clients without restriction
The Company does not and will not direct or control the manner or means by which you perform your services.
3. Tax Responsibility
As an independent contractor:
- You are responsible for all federal, state, and local taxes on income earned through the Platform
- The Company will issue a Form 1099-NEC for payments exceeding $600 in a calendar year
- The Company will NOT withhold income taxes, Social Security, Medicare, or any other payroll taxes
- You are responsible for estimated quarterly tax payments as required by the IRS
- You may be required to provide a completed W-9 form
4. No Employee Benefits
You acknowledge that as an independent contractor, you are NOT entitled to:
- Health insurance or medical benefits
- Retirement or pension benefits
- Paid time off, vacation, or sick leave
- Workers compensation coverage
- Unemployment insurance
- Any other employment benefits
5. Platform Services
The Company provides a technology platform that facilitates connections between educators and families. The Platform:
- Displays your profile to potential clients
- Processes payments on your behalf
- Provides scheduling tools
- Handles client communications
- Collects and remits applicable platform fees
6. Platform Fees
The Company retains a platform service fee from each transaction. The current fee structure is disclosed on your Educator Dashboard and may be updated with 30 days advance notice.
7. Indemnification
You agree to indemnify and hold harmless the Company from any claims, liabilities, damages, or expenses arising from:
- Your performance or non-performance of services
- Your violation of any law or regulation
- Any claim that you should be classified as an employee
- Any tax liability resulting from your independent contractor status
8. Background Check Acknowledgment
You acknowledge that a background check is a platform safety requirement and does not establish an employment relationship. The background check verifies your eligibility to work with minors on the Platform.
9. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination:
- You will complete any in-progress sessions already confirmed
- The Company will remit any outstanding payments within 30 days
- Your profile will be deactivated from the Platform
10. Non-Solicitation (Limited)
For 6 months following termination, you agree not to solicit Platform clients for services outside the Platform if the initial client relationship was formed through the Platform. This does not restrict you from:
- Working with clients you had before joining the Platform
- Accepting clients who independently find you outside the Platform
- Working with any other platform or company
11. Confidentiality
You agree to keep confidential any proprietary Platform information, client personal data, and student educational records you access through the Platform. This obligation survives termination.
12. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
13. Electronic Signature
By typing your legal name and submitting this form, you acknowledge that your electronic signature has the same legal force and effect as a handwritten signature, pursuant to the ESIGN Act (15 U.S.C. 7001 et seq.).
By signing below, you acknowledge that you have read, understand, and agree to all terms of this Independent Contractor Agreement. You confirm that you are entering into this agreement voluntarily and that you understand your classification as an independent contractor.
